Tutors/Counsellors/Speakers Agreement

Please read these Terms carefully. This agreement governs your engagement with Corestone Education Ltd (“Corestone,” “we,” or “us”) for providing educational, counselling, or speaking Services through our platform.

About Corestone Education
Corestone Education Ltd (registered in XYZ) connects Tutors/Counsellors/Speakers with Clients and manages Sessions, Projects, and related administration.

Privacy
We protect your Personal Data as detailed in our Privacy Policy. Providing your data is necessary to deliver Services, but refusal may limit your access.

Definitions

• You: Tutor, Counsellor, or Speaker engaged as an independent contractor.
• Client: Person or entity purchasing Services.
• Services: Educational, counselling, or speaking activities arranged by Corestone.
• Session: Scheduled period of service delivery.
• Force Majeure: Events beyond reasonable control affecting performance.

1. Engagement

• You are engaged as a self-employed, casual contractor to provide Services as needed.
• This agreement continues until terminated by either party.

2. Payments

• Payment rates are agreed with Corestone; Clients pay us directly.
• You must submit accurate invoices to validate Sessions before payment.
• Payments are made monthly by the 15th for the prior month’s work unless agreed otherwise.
• Do not accept direct Client payments or negotiate fees independently.

3. Expenses

• Only pre-approved expenses in writing will be reimbursed.

4. Tax Responsibilities

• You are solely responsible for taxes, National Insurance, and other obligations as an independent contractor.
• No holiday, sick, or redundancy pay is provided by Corestone.
• You indemnify Corestone against tax or employment disputes related to your Services.

5. Your Duties

• Provide Services professionally and punctually at agreed times; notify Clients if late.
• Maintain professional conduct and appearance during Sessions.
• Submit DBS checks or qualifications if requested based on Client/project needs.
• Work outside Sessions requires prior written approval and will be compensated accordingly.
• Do not solicit Clients outside of Corestone’s arrangements during or after this agreement without written consent; breaches may lead to legal action.
• Consent is given for Corestone to use your profile and image for marketing unless otherwise stated.
• Comply with all applicable laws including anti-bribery regulations.

6. Corestone’s Role

• We provide the platform and promote your Services but do not employ you.
• We facilitate introductions and share necessary contact information while maintaining confidentiality.

7. Cancellations

• Both you and Clients must notify each other of changes promptly and arrange alternatives where possible.

8. Qualifications

• Provide evidence of qualifications and DBS checks when required.
• Confirm you hold suitable qualifications and perform professionally.

9. Plagiarism

• Plagiarism or improper involvement in Clients’ work is prohibited and may result in action.

10. Liability

• Corestone is not liable for damages arising from your actions or external events beyond our control.

11. Indemnity

• You agree to indemnify Corestone against losses from breaches of these Terms.

12. Non-Competition

• For one year post-termination, you may not work directly with Clients introduced by Corestone without written consent.

13. Force Majeure

• Obligations pause during uncontrollable events with prompt notification and mitigation by both parties.

14. Termination

• Either party may terminate immediately for unresolved material breaches or persistent violations.

Additional Clauses (15–30) cover intellectual property, confidentiality, conflicts of interest, data processing, notices, dispute resolution, governing law, etc., all reflecting Corestone Education’s policies and replacing previous references accordingly.
